Las Aguas Productions Terms of Service

1. Overview

These Terms of Service (“Terms”) govern your use of the applications operated by Las Aguas Productions UG (haftungsbeschränkt) (“Las Aguas”, “we”, “us”, or “our”) that power the Las Aguas Artist Dashboard available at https://lasaguasproductions.com/dashboard, together with the Las Aguas Indie platform (collectively, the “Services”). The applications covered by these Terms include:

• Las Aguas Productions — our application registered with TikTok for Developers, which connects to your TikTok account through TikTok Login Kit and the TikTok Display API.
• LA Dashboard Posts Tracker — our application registered with Meta for Developers, which connects to your Instagram Professional account or Facebook Page through Meta Login and the Meta Graph API.

Together with our integrations with YouTube and Spotify, these applications (each an “App” and collectively the “Apps”) make up the Las Aguas Artist Dashboard. The Apps are a subscription service that independent artists can sign up for directly, and are also used by clients working with Las Aguas Productions under a management agreement. Each account holder connects their own accounts and sees only their own data. By accessing or using any of the Apps, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Apps.

2. Access and Accounts

• Access to the Apps is exclusive to subscribers of Las Aguas and authorised team members.
• You must provide accurate information and keep your login credentials confidential.
• You are responsible for all activity that occurs under your account.
• You may not share your account or attempt to access another user's account or data.

3. Connected Social Accounts

By connecting a third-party account to the Las Aguas Artist Dashboard, you authorise the relevant App to retrieve data from that account, and where applicable to upload or publish content on your behalf, through the platform’s official API and only for the scopes you grant during connection. Each platform connection is handled by the App registered with that platform:

• TikTok connections are handled by Las Aguas Productions through TikTok Login Kit and the TikTok Display API.
• Instagram Professional and Facebook Page connections are handled by LA Dashboard Posts Tracker through Meta Login and the Meta Graph API.
• Direct Instagram professional-account connections (without a Facebook Page) are handled by LA Dashboard Posts Tracker - IG through Instagram Business Login and the Instagram API with Instagram Login.
• YouTube connections are handled through Google OAuth and YouTube API Services (the YouTube Data API and YouTube Analytics API).
• Spotify connections are handled through the Spotify for Artists API.

Your use of each connected platform remains governed by that platform’s own terms and community guidelines, including the TikTok Terms of Service, the Meta Terms of Service, the YouTube Terms of Service, and the Spotify Terms of Use, and you remain responsible for complying with them.

The exact scopes each App uses on each platform are described in our Privacy Policy. The Apps will not read direct messages, private communications, or comment content from connected accounts; will not post, upload, or publish content to your TikTok account; and will not collect data from accounts that you have not explicitly connected.

You may disconnect any platform at any time from the dashboard’s Settings page or from the platform’s own security settings (for example, the “Apps and websites” section of your TikTok, Instagram, Facebook, Google, or Spotify account). Disconnecting revokes the relevant App’s access tokens immediately and stops further API calls.

4. Acceptable Use

You agree that you will not:

• Use the Apps in violation of any applicable law or third-party platform terms
• Upload content you do not have the rights to use
• Attempt to reverse engineer, scrape, or interfere with the Apps or their underlying APIs
• Use the Apps to harass, defame, or impersonate any person
• Use the Apps to circumvent rate limits, audience-restriction features, or any platform's security controls

5. App Usage Data

We collect data about how you use the Apps (pages visited, features used, frequency of use). This is used solely to improve the Apps and operate the Services and will not be shared in any individually identifiable form outside Las Aguas.

6. Data Sharing

Your data will not be shared in non-anonymised form with anyone outside Las Aguas, or with any other users of the Apps, without your express written permission. This applies to your social analytics, uploaded content, account details, and usage data, and is described in more detail in our Privacy Policy.

7. Uploaded Content

You retain ownership of all content you upload to the Apps. By uploading, you confirm you hold all necessary rights to that content. You grant Las Aguas a limited, non-exclusive, royalty-free licence to store, process, transmit, and display your content solely to provide the Services to you.

8. Analytics Disclaimer

Analytics and metrics shown in the Apps are sourced from third-party platform APIs (TikTok via Las Aguas Productions, Meta via LA Dashboard Posts Tracker, YouTube, and Spotify). Las Aguas does not guarantee their completeness, real-time accuracy, or continuous availability. Platform outages, scope changes, and API changes are outside our control.

9. Service Changes

We may modify, suspend, or discontinue any part of the Apps at any time. We will provide reasonable notice where practical.

10. Intellectual Property

You retain ownership of your content. Las Aguas retains all rights to the Apps and the Services, including the software, design, and Las Aguas branding. You may not copy, modify, or distribute any part of the Apps.

11. Indie Dashboard Subscriptions

This section applies to independent artists who subscribe to the Indie Dashboard directly. It does not apply to clients working with Las Aguas under a management agreement.

Plans, prices and payment

• Monthly: €35 per month. Quarterly: €75 every three months. Yearly: €210 per year.
• Each period is paid in advance at its start, by card, through our payment provider Stripe. The price shown when you subscribe is the total you pay: as a small business under section 19 UStG we do not charge VAT.
• Your subscription renews automatically for the same period until you cancel it. Yearly subscribers get an email reminder one week before each renewal.

Free periods, discounts and codes

• We sometimes give single-use codes for free access, free months or discounts. The exact terms are shown before you confirm, and each code can be used once.
• If a code gives you free months before a paid plan, your card is charged automatically when the free months end unless you cancel before then. Stripe sends a reminder seven days before.
• A discount for a set number of payments ends automatically, and your plan then continues at its normal price. We email you a week before.

Referral offer

• Every Indie Dashboard account has an invite link on its Refer a Friend page. A new subscriber who signs up through it gets their first month at half price. Half of one month's share of the plan price comes off their first payment: €17.50 on the monthly plan (€35 a month), €12.50 on the quarterly plan (€25 a month) and €8.75 on the yearly plan (€17.50 a month). Every other month in that payment, and every later payment, is at the regular price. For example, a first quarterly payment is €12.50 for the first month plus €25 for each of the other two months, €62.50 in total.
• When that first payment goes through, the subscriber who sent the invite gets half off one month of their own plan, in the same amounts, as credit on their account. Stripe takes the credit off their next payment automatically. Credit has no cash value and is never paid out. If the inviter is not on an active paid plan when the reward is earned, it is added as soon as they are.
• The offer is for new subscribers, once per account, and cannot be combined with a code or with free access. It does not apply to accounts you control, or to subscriptions paid with the same card as the account that sent the invite, and we may withhold or withdraw credit if the offer is being misused.
• If the new subscriber's first payment is refunded in full, for example under the 30-day money-back guarantee, the credit it earned is taken back as far as it has not been used yet.

Cancelling

• You can cancel at any time, without logging in, at lasaguasproductions.com/cancel-subscription, from Settings in the dashboard, or by email to contact@lasaguasproductions.com.
• A cancellation takes effect at the end of the period you have paid for (or, during a free period, at its end, with nothing charged). You keep full access until then and we confirm your cancellation by email straight away.

30-day money-back guarantee

If the Indie Dashboard is not for you, you can get a full refund of everything you paid within 30 days of starting your first subscription, with no questions asked, using the button in Settings or by emailing us. Your subscription then ends immediately. The guarantee applies once per person and per payment card, and free months from a code do not extend the 30 days.

Failed payments and the end of access

• If a payment fails, Stripe tries again over about two weeks and you keep access meanwhile. If it still fails, the subscription ends.
• When your subscription or free access ends, the dashboard shows only the plan page, from which you can subscribe again or download your data. Your data is kept as described in our Privacy Policy.

Price changes

We will tell you about any price change by email at least 30 days before it applies to your next renewal. You can cancel before it takes effect.

Right of withdrawal (consumers)

If you are a consumer, you have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period expires 14 days after the day the contract is concluded. To exercise it, inform us (Las Aguas Productions UG (haftungsbeschränkt), Conrad-Blenkle-Str. 29, 2.2.9, 10407 Berlin, Germany, contact@lasaguasproductions.com) by a clear statement, for example an email; you may use the model form below, but you don’t have to. It is enough to send your notice before the period ends.

If you withdraw, we refund all payments received from you without undue delay and at the latest within 14 days, to the payment method you used, free of charge. If you asked for the service to start during the withdrawal period, you would normally owe a proportionate amount for the service provided until you withdrew; under our 30-day money-back guarantee we waive this and refund in full.

12. Termination

Las Aguas may suspend or terminate your access to the Apps if your client relationship or subscription ends, if you breach these Terms, or if we detect misuse or security risks. You may stop using the Apps at any time and may request deletion of your data as described in our Privacy Policy. Upon termination, your access will cease and we may retain certain records consistent with the Privacy Policy.

13. Disclaimers and Limitation of Liability

The Apps and the Services are provided “as is” without warranties of any kind. To the fullest extent permitted by law, Las Aguas will not be liable for any indirect, incidental, or consequential damages arising from your use of the Apps.

14. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, without regard to conflict-of-laws principles, except where mandatory consumer protection law of your country of residence requires otherwise. Exclusive venue is Berlin, Germany, where permitted by law.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and, where appropriate, notify you in the dashboard. Continued use of the Apps after an update constitutes acceptance of the revised Terms.
